1. Introduction

Welcome to Cura Vitalytics. These Terms of Service ("Terms") govern your use of our statistical analysis and data consulting services. By accessing our website or submitting a quote request, you agree to be bound by these Terms.

Cura Vitalytics is a statistical analysis service provider operating under the laws of the Republic of the Philippines. Our services include but are not limited to statistical consulting, data analysis, research design, and related professional services.

2. Services

Cura Vitalytics provides statistical analysis and data consulting services including:

• Descriptive and inferential statistical analysis
• Research design and methodology consultation
• Data cleaning and preparation
• Statistical software support (SPSS, R, Python, SAS)
• Report writing and interpretation
• Thesis and dissertation statistical assistance

3. Quote Requests and Pricing

Quote Validity: All quotes provided are valid for thirty (30) days from the date of issuance unless otherwise specified.

Pricing: Prices displayed on our website are indicative and may vary based on project complexity, data size, and specific requirements. Final pricing will be confirmed in the formal quote.

Payment Terms: Payment terms will be specified in the project agreement. Generally, a deposit may be required before work commences, with the balance due upon completion.

4. User Obligations and Warranties

By using our services, you agree to:

• Provide accurate and complete information in your quote request
• Respond to communications in a timely manner to facilitate project completion
• Make payments as agreed in the project terms

Data Warranty: You represent and warrant that you have obtained all necessary consents, permissions, and legal bases required under applicable laws (including RA 10173) to share the data with Cura Vitalytics for processing. You warrant that the data you provide does not infringe on any third-party rights and was not obtained through illegal means.

5. Intellectual Property

Your Data: You retain all rights to the data you provide. We will only use your data for the purpose of delivering the agreed services.

Reports and Analysis: Upon full payment, you will own the final reports, analysis documents, and written interpretations created specifically for your project.

Code and Scripts: Cura Vitalytics retains all ownership of background technology, code, scripts, statistical models, and methodologies used to generate your deliverables. You are granted a perpetual, non-exclusive license to use these underlying materials solely for the purpose of utilizing and verifying the reports we deliver.

Our Materials: All templates, tools, proprietary methods, and software used by Cura Vitalytics remain our exclusive intellectual property and may be reused for other clients.

6. Confidentiality

We treat all client data and project information as confidential. We will not disclose your data to third parties except as required by law or with your explicit consent. Our data handling practices are governed by our Privacy Policy and comply with Republic Act No. 10173 (Data Privacy Act of 2012).

7. Limitation of Liability

To the maximum extent permitted by law, Cura Vitalytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Except in cases of gross negligence or willful misconduct, our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.

We provide statistical analysis services with professional care but do not guarantee specific outcomes, research conclusions, or publication acceptance.

8. Indemnification

You agree to indemnify, defend, and hold harmless Cura Vitalytics, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use of our services or deliverables
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any claim that data you provided was obtained illegally or without proper consent
• Any misuse, misrepresentation, or fraudulent use of our analysis or reports

9. Force Majeure

Cura Vitalytics shall not be liable for any failure or delay in performance of our obligations due to causes beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, typhoons, earthquakes, or floods
• Internet service provider failures or telecommunications outages
• Power outages or infrastructure failures
• Government actions, regulations, or restrictions
• Pandemics, epidemics, or public health emergencies
• Civil unrest, war, or terrorism

In such events, project timelines will be extended by the duration of the force majeure event.

10. Cancellation and Refunds

Before Work Begins: You may cancel your project before work commences for a full refund of any deposits paid.

After Work Begins: Cancellation after work has commenced will be subject to payment for work completed up to the cancellation date.

Revisions: Minor revisions are included as part of the service. Significant scope changes may require additional fees.

11. Termination

Termination by Client: You may terminate services as outlined in the Cancellation and Refunds section above.

Termination by Cura Vitalytics: We reserve the right to terminate services immediately, without refund, if:

• You breach these Terms of Service
• You request unethical data manipulation, falsification, or "p-hacking"
• You engage in abusive, threatening, or harassing behavior toward our staff
• You fail to make agreed payments
• We discover the data provided was obtained illegally or without proper consent

12. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation or arbitration in accordance with the laws of the Republic of the Philippines.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal action or proceeding shall be brought exclusively in the courts of the Philippines.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.
